CHARLES FRANCIS STUDIO — ARTIST TERMS OF SERVICE

These Artist Terms of Service (“Agreement”) constitute a legally binding agreement between you (“Artist”) and Charles Francis Studio, LLC (“Studio”), a Washington State LLC in Kennewick, WA, governing your participation in the Artist Program through charlesfrancis.gallery.

By creating an Artist Account or submitting artwork, you agree to be bound by these Terms, our general Terms of Service, and our Privacy Policy.

1. ARTIST PROGRAM OVERVIEW

The Artist Program allows approved artists to submit original artwork for sale. The Studio produces fine art reproductions on demand, handles marketing, fulfillment (printing, QC, packaging, shipping), and distributes revenue. This is a consignment-style arrangement — you are not an employee, contractor, or partner of the Studio. You are responsible for your own taxes.

2. ELIGIBILITY & ACCOUNT

You must be at least 18, be the sole creator/owner of submitted artwork (or have full rights to grant the license below), and provide accurate registration and tax information. Acceptance into the program is at the Studio’s sole discretion.

3. ARTWORK SUBMISSIONS

Submitted files must meet minimum quality standards (300 DPI, proper color profile, free from artifacts). You must provide accurate artwork information (title, medium, dimensions, year). The Studio reserves the right to accept, reject, request modifications to, or delist any artwork at any time, for any reason, without liability.

4. CONTENT RESTRICTIONS

You may not submit artwork that infringes third-party rights, contains obscene/illegal content, promotes violence or hatred, is defamatory, or was generated entirely by AI without disclosure and approval. The Studio may remove violating content and suspend your account.

5. INTELLECTUAL PROPERTY & LICENSE

You retain full ownership of all copyright and IP rights in your artwork. By submitting, you grant the Studio a non-exclusive, worldwide, royalty-free license (subject to revenue share) to: reproduce the artwork as prints and products, display it on the Site and marketing materials, digitally process it for reproduction, distribute physical reproductions to customers, and sublicense to service providers as necessary for fulfillment.

This license is limited to the Artist Program and does not transfer your copyright. You retain the right to sell, license, or display your artwork independently on other platforms. When customers purchase prints, they acquire only the physical product — no reproduction rights.

6. REVENUE & PAYMENT

You will receive an Artist Revenue Share as specified in the Artist Portal. “Net Sale Price” excludes shipping, taxes, processing fees, chargebacks, and refunds. The Studio sets retail pricing. Payments are issued monthly within 30 days, subject to a $25.00 minimum threshold and accurate tax information on file.

THE STUDIO MAKES NO GUARANTEE OF SALES, REVENUE, MARKETING EXPOSURE, OR PROMOTIONAL ACTIVITY. Sales depend on market demand and factors outside our control.

7. YOUR REPRESENTATIONS & WARRANTIES

You represent that: you are the sole creator/owner of all submitted artwork; your artwork does not infringe any third-party rights; there are no pending claims related to your artwork; and all information you provide is accurate and complete.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Studio from all claims, damages, losses, and expenses arising from: breach of your warranties, IP infringement claims against your artwork, content claims, inaccurate information, disputes with customers or third parties, or violation of law.

9. STUDIO DISCLAIMERS

While we use professional equipment and archival materials, reproductions may not be identical to originals. Minor color variations are inherent to printing and are not defects. The Studio is not responsible for unauthorized reproduction of your artwork by third parties. While we implement security measures, no technology can fully prevent unauthorized copying online.

THE ARTIST PROGRAM AND ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

10. TERMINATION

Either party may terminate with 30 days’ notice. The Studio may terminate immediately for cause (breach, infringement, fraud). Upon termination: artwork is delisted within 30 days, pending orders are fulfilled, final payment is issued per normal schedule, and the license terminates (except for fulfilling existing orders). Physical artwork will be returned at your expense within 60 days.

11. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE STUDIO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, sales, reputation, or unauthorized third-party use. Total liability is capped at the greater of: Artist Revenue Share paid in the preceding 12 months, or $500.00.

12. DISPUTE RESOLUTION

You agree to first attempt informal resolution for 30 days. Unresolved disputes shall be resolved through binding arbitration in Benton County, Washington. You waive any right to participate in class actions. You may opt out within 30 days by written notice. Governing law: State of Washington.

13. MODIFICATIONS

The Studio may modify these Terms with 30 days’ email notice. Continued participation after changes constitutes acceptance.
